Terms of service

The agreement between your organization and Tinsoft Technologies for using TinERP.
In short
- Try TinERP free for 30 days, no card needed. Setup is free on every plan.
- Paid plans renew automatically until you cancel. Prices include 7.5% VAT.
- If a payment fails, you keep access for 14 days while we retry; after that the account is on hold until you pay.
- Upgrades apply at once; downgrades and cancellations at the end of your paid period. We don't refund part-periods.
- Your data is yours. After you leave we keep it for 90 days, then delete it.
- Nigerian law applies, with the courts of the FCT, Abuja.

About these terms
These terms are an agreement between Tinsoft Technologies Ltd ("Tinsoft", "we", "us"), of Central Business District, Abuja, Nigeria, and the organization that signs up for TinERP ("the Customer", "you"). They cover the TinERP software, our website and the support and setup we provide (together, "the Service").
By creating an account, starting a trial or paying for a plan, the person doing so confirms that they may accept these terms for the organization, and the organization agrees to them. If you do not agree, do not use the Service.
Our Privacy Policy explains how we handle personal data and forms part of these terms. If you and we sign a separate written agreement, it takes priority where it differs from these terms.

Your account and users
- You must give accurate details when you sign up and keep them up to date. Users must be at least 18 years old.
- The person who creates the account is its owner. The owner and the admins they appoint decide who else may use the account and what each person may see and do.
- You are responsible for everything done through your account, for keeping sign-in details secret, and for removing access when someone leaves. We strongly recommend turning on two-factor authentication.
- Tell us at once at [email protected] if you think your account has been used without permission.

Free trial
New organizations get a free trial - currently 30 days - with no card required. Nothing is charged when the trial ends. To keep using TinERP, choose a plan; until you do, only owners and admins can sign in, and only to the Billing page. Data from an unpaid trial is kept and deleted as described in section 11.

Plans, modules and free setup
Plans differ in the modules they include (such as HR, Finance, Procurement, Projects and Reporting) and in their limits. What each plan includes is shown on our pricing page and in your account when you choose it.
Free setup. On every plan, we help you set TinERP up at no extra charge: configuring it with you, helping bring your existing records across, and training your team. Setup covers reasonable effort agreed with you; custom development, integrations with other systems or ongoing work you ask us to do for you are separate and would be agreed and priced in writing first.

Prices, VAT and payment
- Prices are shown on our pricing page and when you choose a plan. They include VAT at 7.5%, which is shown on every invoice.
- You can pay by card through our payment provider, Paystack, or by bank transfer to the account shown in your Billing page.
- Money you pay by transfer that is not yet used for an invoice is held in your account balance and pays your next invoices. If you leave, or ask, we refund an unused balance by bank transfer.
- You are responsible for any withholding tax or other taxes that apply to you under Nigerian law.

Automatic renewal
Paid plans renew automatically at the end of each monthly or annual period until you cancel. When you pay by card, you authorise us to charge the card you pay with at each renewal. We email the owner 7 days before an annual renewal, and 30 days before a saved card expires.
If you pay by bank transfer, nothing is charged automatically: we email your renewal invoice 7 days before it is due, with a reminder 3 days before.

Failed and late payments
If a renewal payment fails or a transfer invoice is not paid by its due date:
- Your organization keeps full access while we try again - for cards on days 3, 7 and 12 after the renewal date - and we email the owner each time. You can pay the overdue invoice at any time.
- On day 14 the account is put on hold: only owners and admins can sign in, and only to the Billing page. Your data is not affected.
- To come back, choose a plan. This starts a new paid period; you are not charged for the time on hold.

Upgrades, downgrades and price changes

Cancellation and refunds
- The owner can cancel at any time from the Billing page. Cancellation takes effect at the end of the period you have paid for, and you keep full access until then. You can undo it before the period ends.
- We do not refund payments for part of a period, including when you cancel or downgrade. We may refund or credit payments at our discretion - for example when we charged you by mistake - and will always refund where the law requires it.
- Promotional credits have no cash value and expire as stated when they are given.

Your data
- You own your data. Everything your organization puts into TinERP ("Customer Data") stays yours. You give us permission to host, copy, process and display it only as needed to provide the Service, support you and meet the law.
- We process personal data in Customer Data as your processor under the Nigeria Data Protection Act 2023: only on your instructions, keeping it confidential and secure, using service providers bound to the same duties, helping you respond to people's requests, and telling you without undue delay about a breach that affects it. More detail is in our Privacy Policy.
- You are responsible for having a lawful basis for the personal data you record - for example about your staff, vendors and beneficiaries - and for recording only what you need.
- You can export your records from TinERP at any time while you have access, in formats such as CSV, Excel and PDF.

After you leave
If you cancel, stop paying, or a trial ends without a subscription, we keep your organization's data for 90 days and send reminders. During that time you can resubscribe and carry on where you left off. After it, the data is due for deletion and we delete it; deletion cannot be undone, so export anything you need before then.
We keep invoices and payment records for 6 years, as tax and company law require, even after your other data is deleted.

Acceptable use
You must not, and must not let others:
- use the Service for anything unlawful, fraudulent or harmful, or to store data you have no right to hold;
- try to get into accounts or data that are not yours, test or get around our security, or interfere with the Service or other customers;
- upload malware, or send spam or unsolicited messages through the Service;
- copy, resell or rent the Service, or reverse engineer it except where the law allows;
- use the Service to build a competing product.
We may suspend access that breaks these rules or puts the Service or others at risk. Where we reasonably can, we will tell you first and give you a chance to put it right.

Finance, tax and professional advice
TinERP helps you keep books, work out VAT and withholding tax, prepare schedules and returns and, where you use it, send e-invoices through an accredited provider. The figures depend on the setup, rates and entries you and your advisers choose. TinERP is not accounting, tax, legal or employment advice. Have a qualified accountant review your chart of accounts, tax settings and statements, and an adviser review your leave and HR policies. You remain responsible for your filings, payments and records.

Availability and support
- We work to keep the Service available and secure, and schedule maintenance to cause as little disruption as we can. We do not promise it will be uninterrupted or error-free, unless we agree a service level with you in writing.
- We improve TinERP continually and may change or retire features. We will not remove a core feature of your plan during a period you have paid for without telling you and offering a fair alternative or refund for the rest of that period.
- Support is available through tickets in TinERP and by email at [email protected].
- Some features rely on other providers, such as Paystack for payments, email delivery and e-invoicing providers. Their services are covered by their own terms, and we are not responsible for their failures.

Our intellectual property
TinERP, our website and everything in them apart from Customer Data belong to Tinsoft or our licensors. While you subscribe, we give you a non-exclusive, non-transferable right for your users to use the Service for your organization's internal purposes under these terms. If you send us suggestions, we may use them without owing you anything.

Confidentiality
Each of us will keep the other's confidential information secret and use it only for the purposes of this agreement, except information that is public, was already known, is independently developed, or must be disclosed by law. Customer Data is your confidential information.

Warranties and liability
Apart from what these terms expressly say, the Service is provided "as is", and we exclude all other warranties to the extent the law allows.
Neither of us is liable to the other for loss of profit, revenue, business or goodwill, or for indirect or consequential loss. Apart from your duty to pay fees, each party's total liability arising from these terms in any 12 months is limited to the fees you paid us for the Service in those 12 months.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited under Nigerian law.
You will compensate us for claims by others arising from Customer Data you had no right to hold or from your use of the Service in breach of these terms.

Ending the agreement
You may end this agreement by cancelling your subscription. We may end it or suspend the Service if you seriously breach these terms and do not put it right within 14 days of our notice, if you do not pay as described in section 7, or at once where the law requires or the breach puts the Service or others at serious risk. Sections that by their nature should continue - including those on your data, fees owed, confidentiality and liability - survive the end of the agreement.

Changes to these terms
We may update these terms, and will change the date at the top. For changes that materially affect you, we will tell account owners by email or in TinERP at least 30 days before they apply, unless the change is required by law sooner. If you do not agree, you may cancel before the change takes effect; continuing to use the Service after that means you accept it.

Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, we will first try to resolve it in good faith - please contact us at [email protected]. If it is not resolved within 30 days, either of us may take it to the courts of the Federal Capital Territory, Abuja, which will have exclusive jurisdiction.
If any part of these terms cannot be enforced, the rest still applies. Our not enforcing a right straight away does not waive it. Neither of us is responsible for delays caused by events beyond our reasonable control. You may not transfer this agreement without our written consent; we may transfer it to a successor to our business, and will tell you if we do.
